Before signing a business contract in Qatar, confirm that the other party is a registered and licensed business, verify that the person signing can bind it, and ensure that every commercial term is clearly written. Whether you are starting a venture, freelancing, or entering a supply, service or employment agreement, complete these checks before you sign.
What to check before signing a business contract in Qatar
- Verify the counterparty — review its current commercial registration and commercial permit.
- Verify the signatory — confirm that the person signing is authorised to bind the business.
- Check the formation documents — review the current document applicable to the company’s legal form.
- Read the commercial terms — check the scope, price, payment dates, duration, termination and dispute-resolution terms.
- Use the correct official channel — the Ministry of Commerce and Industry for company matters and the Ministry of Labour for employment contracts.
Verify the other party is registered and licensed
Ask the other party for its current commercial registration and commercial permit, then compare the registered name, commercial registration number, licensed activity and status with the proposed contract.
Use the Ministry of Commerce and Industry’s digital services
The Ministry of Commerce and Industry’s e-services include the Single Window for establishing and renewing businesses and the Unified Economic Register for business-registration, licensing and company-management services.
The Ministry also provides a Regulatory Record Report containing the company name, licence number, business activity, licence status and compliance indicators. The company’s consent is required before the report is released.
- Make sure the legal or trade name and registration number match the contract.
- Confirm that the licensed activity covers the goods or services in the agreement.
- Check that the commercial registration and permit are current.
- If the records do not match the contract, resolve the discrepancy before signing.
Confirm the signatory is authorised
Before signing, check the commercial registration and the formation document, partners’ or board resolution, or power of attorney applicable to the company. Ask for documentation showing that the signatory can bind the business and retain a copy with the signed contract.
For employment contracts processed through the Ministry of Labour, the contract must be signed by the worker and the establishment’s authorised signatory before the signed copy is uploaded.
Check the company formation documents
The formation document depends on the company’s legal form. Ministry of Commerce and Industry procedures require the formation document for a limited-liability company to be authenticated by the Companies Affairs Department and notarised by the Ministry of Justice. The procedures impose corresponding authentication and notarisation requirements on the memorandum of association for general partnerships and limited partnerships.
Ask to see the current document applicable to the company. Compare the company name, legal form, partners or managers, and signatory powers with the commercial registration and proposed contract.
If it is an employment contract, use the official authentication system
Employment contracts have a dedicated Ministry of Labour process. The Ministry of Labour user guide covers the Digital Authentication System for Multilingual Employment Contracts.
- Access the service through the Ministry of Labour website and sign in through Tawtheeq using the establishment’s smart card.
- Enter the worker, employer and contract data, then generate and print the contract.
- Have the worker and the establishment’s authorised signatory sign the contract.
- Upload the signed copy and any additional attachments requested by the system.
- Complete the verification and electronic-payment steps.
- Download or print the digitally authenticated contract.
What to prepare
- The establishment’s smart card
- A valid bank payment card
- The worker’s details and supporting visa or Qatar ID number, as applicable
- The employer and contract information
- The contract signed by both parties
- Any additional attachments requested for the contract type
Read the commercial terms carefully
Read the agreement line by line and make sure it clearly states:
- Scope of work — what each party must deliver.
- Price and currency — what the price includes and excludes.
- Payment schedule — milestones, due dates and the consequences of late payment.
- Duration and renewal — the start date, term and any automatic-renewal provision.
- Termination — notice periods and the circumstances in which either party may terminate.
- Dispute resolution — the governing law and agreed forum for resolving disputes.
Clarify uncertain terms in writing before signing and retain a fully signed copy. Registration, authentication and fee requirements vary by contract type and the parties involved, so use the official service applicable to the agreement.
Check which rules apply
Law No. 8 of 2021 amended provisions of the Commercial Companies Law issued by Law No. 11 of 2015. If you are contracting with or forming a company, check the current requirements for its legal form through the Ministry of Commerce and Industry’s Single Window and Unified Economic Register.
FAQs
How do I check a company before signing?
Request its current commercial registration and commercial permit. Compare the registered name, registration number, licensed activity and status with the contract, and use the Ministry of Commerce and Industry’s digital services and Regulatory Record Report where applicable.
How do I know the signatory can bind the company?
Review the commercial registration and the applicable formation document, partners’ or board resolution, or power of attorney. Keep a copy of the document establishing the signatory’s authority.
Does every business contract require government registration or a fee?
No single requirement applies to every agreement. Employment contracts use the Ministry of Labour’s authentication process. For other contracts, check the requirements of the relevant authority or official e-service.
What do I need for employment-contract authentication?
Prepare the establishment’s smart card, a bank payment card, the worker’s identifying information, the employer and contract data, the contract signed by both parties, and any additional attachments requested by the system.
What if the company’s records do not match the contract?
Pause before signing. Ask for current documents, verify the information through the Ministry’s services and resolve any difference in the name, activity, licence or registration status.
Has Qatar’s Commercial Companies Law been amended?
Yes. Law No. 8 of 2021 amended provisions of the Commercial Companies Law issued by Law No. 11 of 2015. Use the Ministry of Commerce and Industry’s official services for current company-registration and licensing requirements.
This guide provides general information and is not legal advice. Requirements can change, so confirm the process applicable to your agreement through the relevant official authority.
